1. Acceptance of Terms

By downloading, installing, or using TransAide ("the App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

TransAide is a macOS productivity application that provides AI-powered text optimization, translation, word lookup, email drafting, meeting minutes generation, vocabulary learning, and related features. The App operates using AI service API keys provided by you.

3. Bring Your Own Key (BYOK) Model

  • You are responsible for obtaining and providing your own API key from a supported AI service provider (e.g., OpenAI, Anthropic, Google, or any OpenAI-compatible endpoint).
  • You are responsible for all costs incurred through the use of your API key, including API usage fees charged by your AI service provider.
  • You are responsible for complying with the terms of service of your chosen AI service provider.
  • We are not responsible for any charges, service interruptions, or issues arising from your use of third-party AI services.

4. User Responsibilities

You agree to:

  • Use the App in compliance with all applicable laws and regulations
  • Keep your API key confidential and secure
  • Review all AI-generated content before relying on it for professional, legal, medical, or other consequential purposes
  • Not use the App to process content that violates the terms of service of your AI provider

5. Acceptable Use

You agree not to use the App to:

  • Process content that violates applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Circumvent or attempt to circumvent any technical measures in the App
  • Reverse engineer, decompile, or disassemble the App, except as permitted by applicable law
  • Use the App in any way that could harm, disable, or impair the functioning of any systems

6. Intellectual Property

The App, including its source code, design, user interface, documentation, and all other content (excluding user-generated content and AI-generated output), is the intellectual property of GrammarIO and is protected by copyright and other intellectual property laws.

You retain all rights to the text you process through the App and to the AI-generated outputs you receive.

7. AI-Generated Content

TransAide facilitates the generation of content through third-party AI models. You acknowledge that:

  • AI-generated content (grammar corrections, translations, email drafts, meeting minutes, etc.) may contain errors, inaccuracies, or biases
  • You are solely responsible for reviewing and verifying all AI-generated content before use
  • AI-generated content should not be relied upon as a substitute for professional advice (legal, medical, financial, etc.)
  • We do not control the AI models and cannot guarantee the quality, accuracy, or appropriateness of their output

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • The accuracy, reliability, or correctness of AI-generated content
  • Uninterrupted or error-free operation
  • Fitness for a particular purpose
  • Compatibility with all systems, configurations, or third-party services
  • That the App will meet your specific requirements

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the App
  • Any AI-generated content produced through the App
  • Unauthorized access to or alteration of your data
  • Third-party API service disruptions, changes, or charges
  • Any other matter relating to the App

10. Indemnification

You agree to indemnify and hold harmless GrammarIO and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

11. Updates and Modifications

We reserve the right to:

  • Modify, update, or discontinue the App or any part thereof at any time
  • Update these Terms from time to time by posting the revised version
  • Add or remove features, supported AI models, or functionality

Your continued use of the App after any changes to these Terms constitutes your acceptance of the revised Terms.

12. Termination

You may stop using the App at any time by uninstalling it from your device. Upon uninstallation, all locally stored data will be removed. Data stored in your personal iCloud account can be managed through macOS System Settings.

13. Third-Party Services

The App integrates with third-party AI services and Apple's iCloud. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GrammarIO is registered, without regard to its conflict of law provisions.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GrammarIO regarding the use of the App.
